Terms & Conditions

Definitions

  • Agreement: All documents governing cooperation between the Client and the Company, including proposals, these Terms, and any supporting materials.
  • Client Materials: Any content or information provided by the Client for use within the Project.
  • Deliverables: The outputs or services that the Company agrees to provide under the Agreement.
  • Development Resources: All internal tools, systems, code, frameworks, and technical solutions used or created by the Company, including structural and functional elements.
  • Final Deliverables: The completed and approved version of Deliverables provided to the Client.
  • Project: The scope of work agreed between the Client and the Company.
  • Services: All work performed by the Company under the Agreement.
  • Third-Party Assets: External tools, software, or materials used within the Project.

Development Services

The Company will provide Services according to the scope, timeline, and milestones defined in the Agreement.

Proposal and Scope Validity

Any proposal issued by the Company is available for acceptance for a period of thirty (30) days, unless otherwise specified. If confirmation is not received within this period, we may revise the proposal to reflect updated conditions

Compensation

  • Additional Costs: External services such as hosting, licenses, or integrations are billed separately unless otherwise agreed.
  • Expenses: Approved project-related expenses are charged at actual cost.
  • Fees: The Client agrees to pay all fees as defined in the Agreement, including applicable taxes.

Payment Terms

Invoices must be paid within five (5) days of issuance unless otherwise agreed. Payments are typically structured according to milestones outlined in the Agreement.

Changes to Scope

  • Change Requests: Any requested changes must be submitted in writing. We will evaluate and provide updated cost and timeline details within five (5) business days.
  • Minor Changes: Adjustments that do not significantly alter the scope may be billed at standard rates and may impact delivery timelines.
  • Major Changes: Substantial modifications require a revised proposal and approval before work continues.
  • Proposal Acceptance: Proposals must be approved within fourteen (14) business days or may be withdrawn.

Delays

  • Client Delays: Delays in providing materials, approvals, or feedback may result in timeline adjustments.
  • Company Delays: The Company will notify the Client of any internal delays.
  • External Factors: Events beyond the control of either party may impact timelines without constituting a breach.

Evaluation and Acceptance

  • Testing: Deliverables will undergo reasonable testing prior to submission.
  • Review Periods: The Client is expected to review Deliverables within a reasonable timeframe and provide feedback for necessary revisions.

Client Responsibilities

The Client agrees to:

  • Provide accurate and complete materials
  • Ensure content is ready for use
  • Respond to communications promptly
  • Cover costs related to corrections of provided content

Attribution and Promotion

The Company may reference completed work in portfolios or promotional materials unless otherwise agreed.

Confidentiality

Information shared during the Project that is not publicly available must be treated as confidential and used only for the purposes of fulfilling the Agreement.

Relationship of Parties

The Company operates as an independent contractor. Nothing in this Agreement creates an employment, partnership, or agency relationship.

Limitation of Liability

Services are delivered on a standard commercial basis without additional guarantees beyond those expressly stated. Where permitted by applicable law, the Company’s overall liability is capped at the total amount paid by the Client for the specific Services. The Company shall not be liable for any indirect, incidental, or consequential losses.

Rights for Work Produced

Upon full payment, the Client receives a non-exclusive right to use the Deliverables for their intended purpose.

Ownership of internal tools and development resources remains with the Company.

Support Services

Support or maintenance may be provided separately and may involve additional fees unless included in the Agreement.

The Company is not responsible for issues caused by third-party modifications.

Amendments

We reserve the right to update these Terms at any time. Continued use of the website or services indicates acceptance of the updated version.
